Terms of Service

These Terms of Service ("Terms") govern your access to and use of the xlsx-for-ai client and the hosted xlsx-for-ai service (together, the "Service"). By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

xlsx-for-ai is a tool that makes spreadsheet files readable to AI agents and applications. The client sends spreadsheet bytes to a hosted API, which reads and analyzes the file and returns the result (for example: sheet listings, column-type inference, summary statistics, rendered tables, recalculated values, and format conversions). How your file data is handled is described in our Privacy Policy.

2. Eligibility and age

You must be at least 13 years old to use the Service. The Service is not directed to children under 13, and we do not knowingly collect information from them. If you are between 13 and the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or guardian.

The hosted Service applies usage limits. We may adjust these limits to protect the Service.

4. Your content

You retain all rights to the files and data you submit. You are responsible for the content you process and for ensuring you have the right to process it. The Service reads your file to produce a result and does not persist your file beyond what is described in the Privacy Policy.

5. Fees

The Service offers a free tier. Your first 10 uses are free. After that, continued use remains free for as long as the files you process are within our free size limits. You only need a paid plan when you process a file larger than those free limits; the paid plan is currently US $25 per year, billed annually, and covers larger files. Payments are processed by our payment provider, which acts as merchant of record. We may change pricing or plan structure in the future; any change is made prospectively and does not affect a term you have already paid for. Where required, fees are stated exclusive of taxes, which you are responsible for.

6. Intellectual property

The xlsx-for-ai client is made available under its open-source license (see the LICENSE file in the project repository). All other rights in the Service, including the hosted software and the xlsx-for-ai name and branding, are reserved by us. These Terms grant you no rights in our trademarks.

7. No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. The Service analyzes and transforms data programmatically; we do not warrant that its output is complete, accurate, or error-free, and you are responsible for reviewing and verifying any output before relying on it.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

9. Availability and changes

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms; when we do, we will revise the effective date above, and your continued use of the Service constitutes acceptance of the updated Terms.

10. Termination

We may suspend or terminate your access to the hosted Service if you violate these Terms or use the Service in a way that risks harm to the Service or others.

11. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules.
